MANUAL AND DIRECTORY.

INTRODUCTION.

THIS MANUAL is divided into four departments, viz., United Kingdom; Continental; Indian, American, and Colonial; and Auxiliary Associations, which may be more or less connected with the railway interest. The Appendix contains Parliamentary Documents, Agreements, &c., and is accompanied by an Alphabetical Arrangement of the whole Administrative and Executive Staff in the Three Kingdoms.

Schemes passed since 1853 have their deposits retained until the line is completed, unless a bond to twice the amount is lodged, or one-half the capital expended on authorised purposes. Companies promoting extensions are debarred paying dividends on ordinary stock when the fixed periods expire, unless the branches are opened under certificate of Board of Trade.

A general clause is also inserted in Acts passed since 1856, in these terms: "That this Act, or anything therein, shall not exempt the railway from the provisions of any general Act, relating to the recited Acts, or this Act, or of any general Act relating to railways, or to the better or more impartial audit of the accounts of railway companies now in force, or which may hereafter pass during this or any other session of Parliament, or from any future revision or alteration under the authority of Parliament, of the maximum rates of fares and charges by the recited Acts, or the maximum rates of small parcels, thereby respectively authorised."

By a clause inserted in the Acts passed since 1859, arrears of interest on "preference shares" created on and after that date, are not to accumulate. Should the profits in any one year not be sufficient to pay preference dividends, it is expressly stipulated that "no part of the deficiency shall be made good out of the profits of any subsequent year, or out of any other funds of the company."

The subjoined stringent standing order was adopted in the session of 1863:-"In every Railway Bill in which new works are authorised the committee shall make provision for insuring the completion of the line by impounding the deposit, or by providing that after the expiration of a period to be limited to such Bill, not exceeding five years from the passing of the Act in the case of a new line, and three years in case of the extension of time for completing the line, the company shall be liable to a penalty of not less than 207. and not exceeding 501. per day, to be recoverable as a debt due to the Crown, for every day after the period so limited, until such line shall be completed and open for public traffic; but no penalty shall accrue in respect of any time during which it shall appear, by a certificate to be obtained from the Board of Trade, that the company was prevented from completing or opening such line by unforeseen accident or circumstances beyond their control; but the want of sufficient funds shall not be held to be a circumstance beyond their control."

Another general rule was imported into the legislation of 1864, namely: "That it shall not be lawful for any company to issue any share, nor shall any share vest in the person accepting the same, unless and until a sum not being less than one-fifth part of the amount of such share shall have been paid up in respect thereof."

The scale of voting is thus regulated by the Consolidation Act (8 Vic., cap. 16, 1845)." Section 75. At all general meetings every shareholder shall be entitled to vote according to the prescribed mode of voting, and where no scale shall be prescribed every shareholder shall have one vote for every share up to 10, and shall have an additional vote for every five beyond the first 10 shares held by him up to 100, and an additional vote for every 10 shares held by him beyond the first 100 shares: provided always, that no shareholder be entitled to vote unless he shall have paid the calls then due upon the shares held by him."

Incorporated by 29 and 30 Vic., cap. 304 (30th July, 1866), to construct a line from the Taff Vale at Aberdare to the Neath and Brecon, with a branch to the Taff Vale. Length, 134 miles. 2.-ABERGAVENNY AND MONMOUTH.

Arrangements with London and North Western and Vale of Crickhowell.

By 31 and 32 Vic., cap. 102 (13th July, 1868), an extension of time till 1873 for completion of works was obtained.

By 25 and 26 Vic., cap. 216 (7th August, 1862), the company was authorised to raise additional capital to the extent of 5,000l. at 5 per cent., to cancel and re-issue forfeited shares, and to create debenture stock in lieu of loans.

4.-ABOYNE AND BRAEMAR.

Incorporated by 28 and 29 Vic., cap. 279 (5th July, 1865), to construct a line from the Deeside Extension, at Aboyne, to Bridge of Gairn. Length, 11 miles. Capital, 66,0001. in shares, and 22.0007. on loan. Deeside, which works the line, subscribed 10,000. Opened to Ballater, 17th October, 1816.

The dividends are equal to 2 per cent. per annum.

CAPITAL.-The expenditure on this account to 31st July, 1870, amounted to 69.9487., a reduction of 1,000. having taken place by application of the telegraph purchase. The receipts were, from shares 38,2501, and from loans 21,9997., leaving à balance against the company of 9,6997.

5.-ALYTH.

Incorporated by 21 Vic., cap. 43 (14th June, 1868), to make a railway from the Meigle Station of the Scottish North Eastern to the town of Alyth. Capital, in 107. shares, 33,000.; on loan, 11,0007. Length, 5 miles. Opened September 2nd, 1861.

By 27 and 28 Vic., cap. 82 (23rd June, 1864), the Alyth was leased in perpetuity to the Scottish North Eastern, at an annual rent of 45 per cent. of gross receipts. Power was also given by the same Act to raise new capital in shares to the extent of 3,000, all of which may be held by the Scottish North Eastern.
