By 33 and 34 Vic., cap. 29 (20th June, 1870), an extension of time for three years was obtained for completion of works. Also, a financial reorganisation of the company, under which holders of debenture stock became entitled to vote at meetings of the company, the "suspense period" being fixed at five years from the date of the Act. Share capital to the extent of 17,650%. under the Act of 1866 was cancelled, and the borrowing powers thereon repealed. Special debenture stock was authorised to be issued to the extent of 110,000l., at 5 per cent., having priority over existing mortgages, so as to complete the engagements of the Act of 1865. The capital of 1866 to be kept separate.

233.-NEWQUAY AND CORNWALL JUNCTION.

Incorporated by 27 and 28 Vic., cap. 163 (4th July, 1864), to construct a line from the Cornwall, near Burngullow, to the St. Denis branch of the Newquay. Length, 5 miles. Capital, 27,0007. in 20. shares, and 9,000l. on loan. Arrangements with Cornwall.

By 30 Vic., cap. 6 (29th May, 1868), the company was authorised to make a deviation in the line, and to extend the time for completion of works till 1871. Also, to cancel unissued shares, and assign a preferential dividend not exceeding 6 per cent. on 7,000, and to raise additional capital to the extent of 3,000, and to borrow thereon by instalments.

Three miles opened for mineral traffic on 1st July, 1869. It was reported in August that the traffic continued to increase, and that the line was being more and more appreciated. In July, notwithstanding the dryness of the season, nearly 5,000 tons of clay had been carried over the railway, and this was a fair average. The contractors were working the line at 60 per cent. of the gross receipts. The directors were anxious to see the line extended to Newquay, and opened for passenger traffic; and they hoped the requisite capital, which ought to have been subscribed by the landowners and the district long ago, would before long be forthcoming.

Incorporated 31st July, 1845, for a line from Newry, by way of Armagh, to Enniskillen. Productive, 21 miles.

By 20 and 21 Vic., cap. 156 (17th August, 1857), the portion from Armagh to Enniskillen was abandoned, and the capital was consolidated to 55,6607. and "deferred." On the "deferred" shares, 91. per share is considered as paid up, and no further call will be made until 97. per share has been paid up on the new capital created by that Act, which amounts to 192,0001. in shares, and 78,000/. in loans. In addition, by 22 and 23 Vic. (1860), the company was authorised to issue debentures for 12,000. for its moiety of the cost of junction with Warrenpoint; but at the end of two years these debentures must be extinguished, and their places supplied with shares.

By 22 and 23 Vic., cap. 38 (1st August, 1859), the company was authorised to make certain alterations in the line, and to construct a short branch at Newry to an important depôt on the Ship Canal. Opened 1st September, 1861. Compulsory purchase of land, two years. By same enactment the company may use, by arrangement, the Ulster station, at Armagh.

By 25 and 26 Vic., cap. 75 (30th June, 1862), further powers were conferred, and debenture stock authorised instead of terminable loans. "By section 10 of this Act it is enacted that the holders of shares in series A of the dissolved Newry and Enniskillen, shall, within eight months, send in certificates of such shares to the secretary of the company, to be dealt with in accordance with the provisions of sec. 36 of Act 1857," otherwise all such shares become liable to forfeiture.

By 27 and 28 Vic., cap. 185 (14th July, 1864), the company obtained power to issue new shares to the extent of 250,0007; also to cancel forfeited and unissued shares, still keeping the total capital at 408,1207. Those new shares to rank for dividend before the shares created by 20 and 21 Vic. (17th August, 1857).

By 33 and 34 Vic., cap. 108 (4th July, 1870), a scheme of arrangement by arbitration was sanctioned.

The accounts are made up to the 30th June and 31st December, and the statutory meetings held in February and August in every year, the books being closed 14 clear days previously.

236.-NEWRY, WARRENPOINT. AND ROSTREVOR. Incorporated by 10 Vic., cap. 245 (27th July, 1846), for a line from Newry to Rostrevor, with a branch to Warrenpoint (84 miles). Six miles from Newry to Warrenpoint have been opened since 28th May, 1849.

By 20 and 21 Vic., cap. 61 (27th July, 1857), the company is authorised to extend its line at Newry and at Warrenpoint (length, mile), and to enter into arrangements with the Newry and Armagh. New capital, 20,000. by shares, and 6,000%, by loan. Opened 2nd September, 1861.

By 23 Vic, cap. 87 (14th June, 1860), the company was authorised to regulate its 6 per cent. preference capital, and to create new shares at 5 per cent.; to define its borrowing powers as extending to 39,900. The Newry and Armagh was authorised to subscribe 12,500/., and agreements between the companies legalised. New works were also permitted, principally connected with water conveyance.

REVENUE. It was reported in February that the revenue for the half-year ending 31st December exhibited a decrease of 1727, in comparison with the corresponding period in 1868. The decrease for the June half-year was 19, arising solely in the goods traffic. The net revenue for the half-year amounted to 5,370, which was disposed of as under:

An incorporation by 25 and 26 Vic., cap. 189 (29th July, 1862), of the original North British, the Edinburgh Perth and Dundee, the West of Fife, and their several subsidiary connections; and by 28 and 29 Vic., cap. 217 (5th July, 1865), the Monkland was amalgamated with the Edinburgh and Glasgow, which was by an Act of the same session, 28 and 29 Vic., cap. 308 (1865), amalgamated with the North British as from 31st July, 1865. The following particulars refer to the undertakings now forming component parts of the united company :

I. NORTH BRITISH.-Incorporated 19th July, 1844, for a line from Edinburgh to Berwick, junction with North Eastern (York Newcastle and Berwick), with a branch to Haddington (62 miles). In 1845 powers were given to purchase the Edinburgh and Dalkeith (14 miles), and to construct a small branch (two miles) to connect it. The powers of the Edinburgh and Hawick (43 miles) were transferred to this company in the same year. In 1846 the company obtained power to construct branches to Selkirk, Jedburgh, Kelso, Tranent, Cockenzie, North Berwick, and Dunse (42 miles).

19 and 20 Vic., cap. 63, cancelled forfeited shares to the extent of 72,2721., gave power to raise 152,000. new capital, and to convert mortgage debt into debenture stock.

By 21 and 22 Vic, cap. 109 (23rd July, 1858), the Acts of the company were consolidated, and an alteration sanctioned on Leith Branch, so as to perimit use of locomotives.

By 23 and 24 Vic., cap. 159 (23rd July, 1860), the company obtained power to enlarge its station at Edinburgh, and also to use the Citadel station in Carlisle. Authority was also given to the company to raise new capital to the extent of 30,0007. in shares at 5 per cent. preference, and 10,000/. on mortgage; and by 28 and 29 Vic., cap. 152 (29th June, 1865), an agreement with the corporation of the city of Edinburgh was sanctioned and confirmed, in virtue of which and of another agreement since concluded, the whole of the vegetable markets were conveyed to the company for the enlargement and improvement of the Edinburgh station.

CARLISLE AND SILLOTH BAY.-Incorporated by 18 and 19 Vic, cap. 153 (16th July, 1855), to make a railway from Port Carlisle, at Drumburgh, to the boat lighthouse in Silloth Bay, and a dock and jetty at the latter place (12 miles). Opened 4th September, 1856. The dock at Silloth was opened on 3rd August, 1859. It measures 600 feet in length and 300 in width, giving an area of water surface of upwards of four acres, with a width at the entrance gate of 60 feet. Share capital, 165,000; loans, 55,000. Leased to North British by 25 and 26 Vic., cap. 47 (3rd June, 1862), for 999 years, at an annual fixed rent of 2,000. and a further contingent rent to commence from 1st February, 1863, equal to the same rate per cent. on 165,000l. as the dividend for the time being on the North British ordinary stock.

PORT CARLISLE.-Incorporated by 17 Vic., cap. 119 (4th August, 1853), for converting a canal into a railway. By 59 Geo. III., cap. 13, the canal was authorised from Carlisle to Solway Firth (Fisher's Cross), Bowness, Cumberland ("Port Carlisle"). and "The Carlisle Canal Company" was incorporated with a capital of 80,000% and 40,000l. By 7 Wm. IV., cap. 50 (Dock Act), power was given to make docks at Port Carlisle, and raise 40.0007. Length, 11 miles. Opened 22nd May, 1854, for goods, and on 22nd June for passengers. Ordinary share capital, 70,6002. Preference capital, 35,000l. at 5 per cent. and 40,000. at 5 per cent., mortgage debts, 73,5377. 108., now converted into debenture stock, to bear 3 per cent. per annum. Leased to North British by 25 and 26 Vic., cap. 48 (3rd June, 1862), for 999 years, at a fixed annual rent of 3,1007. and an additional contingent rent when the dividend on the North British stock exceeds 4 per cent. per annum, equal to such an amount per cent. on 70,6007. as shall be the difference between 4 per cent. per annum and the rate of dividend on such ordinary stock.

By 25 and 26 Vic., cap. 49 (3rd June, 1862), the North British was authorised to construct branches from their railway in the parish of Inveresk, and to create new capital to the extent of 220,0007., and 73,000l. on loan. By 25 and 26 Vic. (17th July, 1862), and a subsequent Act, the North British were authorised to contribute 75,0001. towards the Berwickshire, which connects the company's Berwick and Hawick lines.

PEEBLES.-Incorporated by 17 Vic., cap. 78 (8th July, 1853), for a line from the Hawick branch of the North British (Eskbank station) to Peebles (single line). Length, 18 miles. Opened 4th July, 1855, By 20 and 21 Vic., cap. 14 (26th June, 1857), the Peebles was authorised to create additional capital to the extent of 27,0002 in shares, at 5 per cent. preference, and 9,000l. on loan. Power also given to convert mortgage debt into debenture stock, not exceeding 4 per cent. Leased to North British by 24 and 25 Vic., cap. 114 (July 11th, 1861), on a guarantee of 5 per cent. minimum dividend. After 6 per cent. further surplus profits go equally between the two companies.

JEDBURGH.-Incorporated by 18 Vic., cap. 30 (May 25th, 1855), to construct a line (7 miles 1 furlong 8 chains) from Jedburgh to the Roxburgh station of North British. Capital, 35,000. in 10. shares, with power to borrow 11,5007. Opened 17th July, 1856. By 23 and 24 Vic., cap. 140 (3rd July, 1860), the line is amalgamated with the North British at 4 per cent., with increase above that rate equal to difference between that rate and any higher rate of dividend paid on North British ordinary stock.

SELKIRK AND GALASHIELS.-Incorporated by 17 and 18 Vic., cap. 199 (July 1st, 1854), for a line between these towns. Capital, 24,0001, in 107. shares; loans, 8,0007. The line (6 miles) commences on "town haugh," near Selkirk, and terminatesby a junction with the Hawick branch of North British, near Galashiels station. Opened 5th April, 1856. By 21 Vic., cap. 29 (4th June, 1858), the company was authorised to raise additional capital-6,0001. in shares at 5 per cent., and 2,0007. on mortgage. By 22 and 23 Vic., cap. 14 (21st July, 1859), the company is amalgamated with North British, at par, the ordinary stock of the latter being exchanged for that of the former. At a meeting on 18th October, 1859, the company was formally wound up, the balance in hand being divided, and the undertaking handed over to the North British.

BORDER UNION.-By 22 and 23 Vic., cap. 24 (21st July, 1859), the company was authorised to construct a line from Hawick to Carlisle, with branches as under:-Main line, 44 miles; Langholm, 7 miles; Canobie coal field, mile: Gretna, 3 miles; total, 544 miles. Capital, 495,000Z.; loans, 165,0007. It was resolved at the half-yearly meeting in September, 1859, to raise so much of the capital as had not been raised by ordinary shares in shares of 10., not exceeding 400,0007. in the whole, to which a perpetual dividend of 5 per cent., commencing from and after 31st December, 1861, shall attach, without participation in surplus profits (over 5 per cent.) out of Border Union revenue. Opened throughout from Carlisle (Citadel station), for passengers, and Canal station, for goods, to Edinburgh, July, 1862.

BORDER COUNTIES.-Incorporated by 17 and 18 Vic., cap. 212 (July, 1854), for a line from Hexham, on the North Eastern (Newcastle and Carlisle), by the Valley of North Tyne, to Wark, Reedsmouth, Hareshaw Iron Works, Bellingham, Falstone, and Kielder. Length, 26 miles. Capital, 250,0007, in 201. shares; loans, 83,3231. By 22 and 23 Vic., cap. 43 (1st August, 1859), the company was authorised to construct the Liddesdale section, to deviate some parts of the North Tyne section, and to raise further capital to the extent of 100,0007, in shares and 33,3337, on loan. The Liddesdale section (15 miles), commences by a junction with the Border Counties, and terminates on the Border Union (Hawick to Carlisle), near Riccarton. By 23 and 24 Vic., cap. 195 (13th August, 1860), amalgamated with North British. Running powers obtained over the portion of the Newcastle and Carlisle between the junction of the Border Counties therewith and Newcastle, and the use of stations on such portion, and security for the free passage of traffic between the two railways. Opened throughout, 1st July, 1862.

WANSBECK.-Incorporated by 22 and 23 Vic., cap. 85 (8th August, 1859), to construct lines from Morpeth to the Border Counties, the Blyth and Tyne, and the North Eastern. Capital, 120,000 in 107, shares; loans, 40,000. Length of main line, 28 miles, to commence at Morpeth, and terminate at Chollerton, by junction with North Tyne section of Border Counties; branch to Blyth and Tyne, 64 furlongs; branch to North Eastern, 24 furlongs. Opened from Morpeth to Reedsmouth, 1st May, 1865. By 26 and 27 Vic., cap. 194 (21st July, 1863), the company was authorised to create new capital to the extent of 10.0007. in shares and 3,8007. on loan, and also to amalgamate with the North British, which were effected on 20th July, 1862.

GALASHIELS AND PEEBLES.-By 24 and 25 Vic., cap. 102 (28th June, 1861), the North British is authorised to construct a line from Galashiels, on the Hawick section. to Peebles, there joining the Peebles as well as Symington Biggar and Broughton. Length, 18 miles 12 chains. Capital, 95,0007, in shares and 31,6007. on loan. Completion of works, five years. Opened throughout.
