248.-NORWICH AND SPALDING.

Incorporated by 17 Vic., cap. 124 (4th August, 1853), for a line from the Great Northern, at Spalding, to Holbeach. Length, 16 miles.

By 22 and 23 Vic., cap. 118 (13th August, 1859), the company was authorised to extend the line from Holbeach to Sutton Bridge. Opened to Sutton Bridge, 3rd July, 1862.

By an Act passed in 1865, this company, or any company working the line, has running powers over the Peterboro' Wisbeach and Sutton from Sutton Bridge to Wisbeach.

Under an agreement by which the Great Northern and Midland work the line the company is secured a minimum net rent of 7,000l. a-year, with half surplus profits beyond this sum.

249.-NOTTINGHAM AND GRANTHAM.
(LEASED TO GREAT NORTHERN.)

Incorporated by 9 and 10 Vic., cap. 155, for construction of a line commencing, as projected, in conjunction with the Midland, and in continuation thence of the Manchester Baxton Matlock and Midlands Junction, at Ambergate, and terminating in conjunction with the Great Northern, at Spalding, with branches to Sleaford and Boston (90 miles); but, by resolution of general meetings it was determined to confine all operations to a line from Grantham (where a junction is formed with the Great Northern). The portion in operation is 23 miles, viz., from Grantham to Nottingham. Under Act of incorporation, this company had agreed to purchase the Nottingham Canal for 2257, in cash, or nine railway shares of 251, each, paid up; and the Grantham Canal for 100%. in cash, or five railway paid-up 251. shares for each canal share.

By 23 Vic., cap. 36 (15th May, 1860, the name of the undertaking was changed to "Nottingham aud Grantham," the capital reduced to 1,014,000 in lieu of 1,056, 2501.. and of the borrowing powers from 358,3331. to 265,000!: various provisions for consolidation of shares into stock, and for regulating the transfer thereof, were also made.

The line has since been leased to the Great Northern for 999 years, at a rental of 47. 28. 6d. on a capital of 1,014,000l. with a right to the Great Norrthern to purchase the undertaking at par. The rent is regularly paid, and the dividends declared half-yearly. The borrowing powers are exercised by the Great Northern.

JUNCTION.

Incorporated by 20 and 21 Vic.. cap. 137 (10th August, 1857), for the construction of railways to supply direct communication between these places. Capital, 140,C007. in 10. shares; loans, 46,600l. The length of first railway is 4 miles and 7 yards, commencing by a junction of the Oldham branch of the London and North Western, at or near the Oldham Station, and terminating by a junction with the Ashton and Stalybridge branch of Lancashire and Yorkshire; length of the second is 1 mile 3 furlongs and 17 yards, commencing by a junction with the Ashton and Stalybridge branch of Lancashire and Yorkshire, at Peccatties, and terminating by a junction with Manchester Sheffield and Lincolnshire, at Guide Bridge; the length of the third is 2 furlongs 6 chains and 17 yards, commencing by a junction with the first railway, in the parish of Ashton, and terminating near the service reservoir of the Ashton waterworks; the length of the fourth is 5 furlongs 8 chains and 11 yards, commencing by a junction with the first railway near Wood Lane, and terminating at or near Moss coalpit; and the length of the fifth is 2 furlongs 6 chains and 8 yards, commencing by a junction with the first railway near Lower Allhil, terminating in Rochervale. The Manchester Sheffield and Lincolnshire and London and North Western subscribe 50,0001. each, and each appoint one-third of the directors. Opened 26th August, 1861.

By 25 and 26 Vic., cap. 98 (30th June, 1862), the line is vested mutually in the London and North Western and Manchester and Sheffield at 4 per cent.

REVENUE.-The balance, being profit on the working for the half-year ending 30th June, 1870, amounted to 313,, which required payment from the two leasing companies of 1,6151. each.

252.-PEEBLES.

Incorporated by 17 Vic., cap. 78 (8th July, 1853), for a line from the Hawick brauch of the North British (Eskbank station) to Peebles (single line). Length, 18 miles. Sidings, &c., 2 miles. Total, 21 miles. Opened 4th July, 1855.

By 20 and 21 Vic., cap. 14 (26th June, 1857), the company was authorised to create additional capital to the extent of 27,000l. in shares, at 5 per cent. preference, and 9,0001, on loan. Power also given to convert mortgage debts into debenture stock notexceeding 4 per cent. Leased to North British by 24 and 25 Vic., cap. 102 (11th July, 1861). Under the provisions of the Act, this undertaking is leased in perpetuity to the North British at 50 per cent. on the gross receipts. Should the Peebles share be insufficient to meet the mortgage interest, preference dividends, rates, and taxes, &c., and 5 per cent. on the ordinary stock, the North British to make good such deficiency. All excess of income up to 6 per cent, on the ordinary capital to belong to the Peebles, and all in excess of 6 per cent, to be equally divided.

It was reported in March that the traffic had been well maintained during the halfyear, there being an increase on the whole of 741., as compared with the corresponding half-year ending 31st January, 1869. The free balance permitted payment of the usual dividend of 5 per cent. per annum on the preference shares, and a dividend at the rate of 63 per cent. per annum on the ordinary shares. After setting aside sufficient to meet the dividends and all charges for the half-year, there remained to be paid 2677. to the North British in terms of the lease, leaving a balance of 70l. It was further reported in September that the free balance amounted to 3,4967., which, after payment of 5 per cent. to the preference shares, left a dividend at the rate of 7 per cent. to the ordinary stock, with 3561. (being half surplus profits) to the North British.

CAPITAL. This account is closed. It includes 27,000l. in 5 per cent. preference, 70,000%, of ordinary stock, and 32,000l. on loan.

Scale of Voting-2 shares to 10, one vote; every 10 to 100, one vote; afterwards one for every 20.

253. PEMBROKE AND TENBY.

Incorporated by 22 and 23 Vic., cap. 6 (21st July, 1859), to make railways from Pembroke Dock to Tenby, and from the former place to Hobb's Point. Capital, 80,000%. in 10%. shares; loans, 26,6001. Length of first line, to commence at or near Pembroke: Docks and to terminate at Tenby, 11 miles; and length of second, to commence at or near Pembroke Docks and to terminate at Hobb's Point, 2 furlongs and 7 chains. Estimate, 80,000l. Opened, 27 miles.

By 27 and 28 Vic., cap. 183 (14th July, 1864), the company was authorised to construct several short lines, including an extension to Whitland. Length, 18 miles. Capital, 200,000, in shares and 66,000l. on loan.

By 29 and 30 Vic., cap. 330 (6th August, 1866), the company was authorised to extend Capital. 200.0007. the line to Carmarthen and to Milford Haven. Length, 15 miles. in shares, and 65,6001, on loan. Arrangements with Great Western, Cambrian, Central Wales, Llanelly, and Manchester and Milford.

By arrangements with the lessees, the dividends are at the rate of 5 per cent. per

annum.

By 33 and 34 Vic., cap. 127 (14th July, 1870), the company was authorised to extend the line to Pembroke Dock, and to make arrangements with the Admiralty. Length, half a mile. New capital, 21,000l. in dockyard guaranteed stock. Also, to use part of the Cardigan and Carmarthen.

REVENUE-This account for the half-year ending 31st December, 1869, showed that 12,5911. had been received, and 4,3461 expended. For the half-year ending 30th June, 1870, 11,1217. had been received and 4,619. expended, leaving a balance of 6,5021.

NEW CAPITAL.-At a special meeting held on 13th October, 1870, it was resolved to create and issue new 4 per cent. stock, guaranteed by the Admiralty, for the extension into the dockyard.

254.-PENARTH.

(LEASED TO TAFF VALE)

Incorporated as the ELY TIDAL, by 19 and 20 Vic., cap. 122 (21st July, 1856), to construct a line from the Taff Vale, 5 miles from Cardiff, to river Ely, county of Glamor gan, and for converting part of that river into a tidal harbour. Capital, 130,0001. in 100!. shares; loans, 43,000l. Length, 6 miles; narrow gauge. Board of Trade may appoint auditor to examine accounts.

By 20 and 21 Vic., cap 69 (27th July, 1857), the name of the company was changed to the "PENARTH HARBOUR DOCK AND RAILWAY." Various deviations and improvements were sanctioned and the period of completion extended to five years from date of Act, and of others to ten years. New capital authorised to the extent of 192,0001, in 100 shares, 101. calls. with intervals of two months. Power to borrow extended to sum of 107,000l. Opened July, 1859.

By 24 and 25 Vic.. cap. 124 (11th July, 1851), the company was authorised to raise further capital to the extent of 300,000l. in shares, and 100,000, on loan, for the purpose of completing the works, the purchase of steamers, &c.

PENICUIK-PETERBOROUGH, WISBEACH, AND SUTTON.

At a special meeting of the Taff Vale, and of the Penarth, on 12th August, 1862, a lease of the Penarth for 10 years was agreed to, in the following terms:-At a rent, till the dock works are open for traffic, that will pay the Penarth interest upon 73,000l. of existing debentures, and 4 per cent. upon 137,000l. share capital, with one-half divisible profits. After the dock is open for traffic, the rent will be the interest upon all the debentures, and 4 per cent. upon all the share capital expended, with one-half divisible profits. Parliament, by 26 and 27 Vic., cap. 75 (22nd June, 1863), sanctioned a lease for 999 years upon the above terms.

The report for the half-year ending 31st December, 1869, recommended a dividend at the rate of 4 per cent. per annum. The traffic was progressing steadily. Several meetings had been held before the arbitrator in the matter pending between the company and Smith, Knight, and Co., and every effort would be made to expedite a settlement. Very little progress, however, had been made when the August report was issued. The dividends continued at the rate of 4 per cent.

CAPITAL.The expenditure on this account to 30th June amounted to 753,5067., the receipts (which left a balance of 75.5891.) having been as under :

255.-PENICUIK.

Incorporated by 33 and 34 Vic., cap. 41 (20th June, 1870), to construct a lire from the Hawthornden station of the Peebles to Penicuik Length, 4 miles. Capital, 54,000, in 10. shares, and 18,000l. on loan. Arrangements with North British, to whom the line is leased in perpetuity, under a working agreement.

It was reported in August that an offer by Mr. John Waddell, contractor, for constructing the line had been remitted to the engineer. Mr. Thomas Bouch, C.E., for approval. It has since been agreed that the line should at once be commenced, and opened for public traffic at as early a date as possible. The line was commenced in October last.

The line is expected to be finished by the 7th October next, at least the contractor is bound to finish it then, under penalties.
