324.-WARRINGTON AND STOCKPORT.

Incorporated by Act 14 and 15 Vic., cap. 71 (3rd July, 1851), for a line commencing from the St. Helens, at Warrington, to the South Junction and Altrincham, at Timperley, with a branch to join the Birkenhead Lancashire and Cheshire Junction, at Lower Walton. Productive inileage, 11 miles.

By Act 17 Vic., cap. 122 (4th August, 1853), the company obtained a branch to Stockport, from canal at Altrincham, crossing the South Junction at Timperley, 78 miles. Further capital authorised, 110,000l. in shares and 36,6001, on loan. branch was not made.

By 22 and 23 Vic., cap. 2 (13th August, 1859), the line is leased to the London and North Western and St. Helens for 999 years, from 1858, at a dividend on the capital of 4 per cent., with 1007. per annum to the directors for transacting routine business. By the same Act the London and North Western (with consent of St. Helens) may purchase Warrington and Stockport, the price to be 91. bs. of London and North Western stock for every 101. of Warrington ordinary stock; preference shareholders guaranteed by London and North Western. This option has been exercised.

325.-WATERFORD AND CENTRAL IRELAND.

Incorporated by Act 8 and 9 Vic., cap. 87 (21st July, 1845), for a line from Waterford to Kilkenny, with a branch to Kells (6 miles). In 1848 an Act was obtained authorising the creation of further capital to the extent of 120,000!., should the railway commissioners require the company to alter the construction of the permanent way, and repealing that clause in the Act of incorporation which required the company to make and open the Kells Branch within one year after the opening of the main line. In 1850 another Act was obtained, giving the company power to raise fresh capital for the completion of the line into Waterford. In operation, 31 miles.

By 14 and 15 Vic., cap. 110, the company obtained power to purchase the Waterford and Limerick, and by another Act (14 and 15 Vic, cap. 141), power to sell the junction to the Waterford and Limerick, and purchase bridge over the river Suir; it also further provides that a separate account be kept of cost of the line from junction between this railway and the Limerick into Waterford, and station there. The Limerick to pay rent equal to 5 per cent. on half of outlay for its use thereof. The Great Southern and Western also pay a rent of 1,0251. for use of junction and station at Kilkenny.

By 21 and 22 Vic., cap. 48 (28th June, 1858), the company was authorisei to raise money by perpetual mortgage, or by conversion of such mortgage into stock, which privilege was exercised at a meeting on 19th July of that year.

By 29 and 30 Vic., cap. 257 (23rd July, 1866), the Waterford and Kilkenny, in conjunction with the Kilkenny Junction, was authorised to construc, the "Central of Ireland."

By 31 and 32 Vic., cap. 141 (13th July, 1868), the company obtained power to acquire additional lands for stations, &c., in the county of Waterford; also to borrow on mortgage 10,000, for substituting stone or iron viaducts for those now made of wood; also to establish a sinking fund for redemption of mortgages, and to seli or mortgage the rent-charge of the company to the Great Southern and Western, and to change the name of the undertaking from the Waterford and Kilkenny to the "Waterford and Central Ireland."

REVENUE.-The receipts for the half-year ending 25th March exceeded those of the corresponding period by 1,010l. The receipts for the seven weeks since that date were 3,760, against 3,5557. in the corresponding period, showing an increase of 2054. The requisite repairs, renewals, and alterations of the permanent way had been completed: the line had been fished and improved, so as to place it in first-rate condition; and steps were now being taken to provide the necessary store and riding accommodation at the stations, which the increasing traffic required. A dividend at the rate of 3 per cent. per annum was paid on the preference stock, leaving a balance of 2051.

The receipts for the half-year ending 29th September exceeded those of the corre sponding period of 1869 by 1041., of 1868 by 1061., of 1867 by 2,2331., and of 1866 by 3,480. Dividend at the rate of 3 per cent. on the preference stock left a balance of 300!, to next

account.

KILKENNY JUNCTION.-It was reported in November that the agreement into which the company entered to work the Kilkenny Junction from Kilkenny to Maryborough had expired, and as that railway formed the first portion of the system by which traffic from all parts of Ireland could be brought over the line to the port of Waterford, the directors considered that it would be advantageous to all interests concerned that an amalgamation of the two companies should be effected on a fair and equitable basis; and that an effort should be then made by means of a separate and distinct capital to connect the undertaking with the railways at Genshill and Mullingar, which would at once give a direct and continuous midland communication between the south and north of Ireland from Waterford to Londonderry, and places in the east and west of Ireland. Notices of application to Parliament for power to carry out those objects had been given, and when the details of the measure were settled and arranged it would be submitted to the shareholders for their sanction.

(326.-WATERFORD AND LIMERICK.

Incorporated by 8 and 9 Vic., cap. 131 (21st July, 1845), for a line from Waterford to Limerick. In operation, 31 miles.

The company obtained power in 1850, with regard to the purchase of land, whereby immense cost and litigation are spared. Power was also obtained to re-issue the 4,725 shares forfeited and merged into the company, as well as any other shares to be forfeited, and to grant a preference dividend on such re-issue, and in 1851, by Act 14 and 15 Vic., cap. 110, the hitherto dubious course of the line has been decided by the authority therein given to carry it from Fiddown to the north of the river Suir: and to form a junction with the Kilkenny, near Waterford. Either of these companies ay sell or lease their undertakings to the other, with the consent of three-fifths of special meetings respectively, and may raise the capital necessary to effect such purpose, &c.

The completion between Tipperary and Waterford was undertaken under the influence of a loan from Government of 120,0007.

By 18 and 19 Vic., cap. 73 (26th June, 1855), the company raised 94,000. at 6 per cent., which has since been redeemed, and a consolidated 4 per cent. stock issued instead. By the same Act working arrangements authorised with Limerick and Foynes and Limerick and Ennis.

By 23 and 24 Vic., cap. 160 (23rd July, 1880), the company was authorised to construct a tramway to the Market Place, at Limerick, and mile of line with pier or wharf at Waterford; both of which works have been completed. Preferential shares to be consolidated into 5 per cent. stock, and additional capital not exceeding 50,0001. in 5 per cent. preference shares and 16,000. on loan. Mortgage debt to be converted into debenture stock at 4 per cent.

By 25 and 26 Vic., cap. 191 (1862), authority has been obtained to divert the tramway at Limerick, and to work or lease the Limerick and Ennis, existing working agreement with that company being also confirmed. Power is also given to raise 23,0007, by shares, and to attach thereto preference dividend up to 5 per cent.; also to borrow 7,000l.

By 29 and 30 Vic., cap. 272 (23rd July, 1866), the Waterford and Limerick was authorised to enter into traffic arrangements with the Great Southern and Western and the Great Western, or either of them.

By 31 and 32 Vic., cap. 81 (13th July, 1868), the company was authorised to raise additional capital to the extent of 50,0007. in shares and 16,6007. on loan.

LIMERICK AND ENNIS.-This line has been worked by the Waterford and Limerick, since April 22nd, 1861, on a 20 years' lease, at 45 per cent, on the receipts. The management is vested in a joint committee, under 25 and 26 Vic., cap. 191 (29th July. 1862), by which the Waterford and Limerick was authorised to raise 23,0001, new preference capital, for the purpose of taking up the plant of the Ennis.

LIMERICK AND CASTLE CONNELL.-This line, of which 13 miles are open, commencing 4 miles from Limerick, and ending at Killaloe, on the Shannon, is traffic worked under a mileage agreement.

LIMERICK AND FOYNES.-This line, 26 miles, is worked for a fixed annual sum, terminable by either party. The Waterford and Limerick originally subscribed 17,5001. to this undertaking, and has since added 5,8501. in preference shares.

RATHKEALE AND NEWCASTLE JUNCTION.-By 27 and 28 Vic.. cap. 236 (25th July, 1864). the Waterford and Limerick was authorised to work the Rathkeale and Newcastle 10 miles), to contribute 5,000l. to that undertaking, as well as to raise 35,000, with 7,000l. on loan, to provide rolling stock for the same, and for their own general purposes.

REVENUE-The receipts for the half-year ending 31st December, 1869, were 50,8977.. the working expenses 23.107, and the profit 27,7901. To this was added 7551. from preceding account, making 28,5451. The interest on loans had been 8,733., and the income-tax paid 635l., leaving a surplus of 19,176., which provided dividends at the rate of 5 per cent. on the old and new preference shares, and at the rate of 4 per cent. per annum on the preference stock; to write off the suspense accounts, 4,536., to put 1,000 to the new reserve fund, to pay a dividend at the rate of 1 per cent. per annum to the holders of original stock, and to carry forward 3111.

The receipts for the half-year ending 30th June 1870, amounted to 43.3367., against 38,655. in the same period ot 1869, showing an increase of 4,681, of which 5841, was for passengers and 3,8997. for goods. The working expenses were 49-23 per cent., and having regard to the due maintenance of way and plant, further steady and continued After payment of interest on the outlay would have to be incurred henceforward. terininable and perpetual debentures and on the floating debt there remained a profit of 14.0261., out of which the usual dividends on the 5 per cent. old and new redeemable preference shares, and the dividend at the rate of 4 per cent. on the perpetual preference stock, left a balance of 3,637., including 3101. brought from preceding halfyear. Dividend at the rate of 1 per cent. per annum on the ordinary share capital left 1,0991.

GREAT SOUTHERN AND WESTERN.-It was reported in August that a shareholders' committee had made an offer to the Great Southern and Western for the sale of the Waterford and Limerick to that company, which was rejected; and subsequently a committee of the Waterford and Limerick board made an offer on the same basis for the sale of the line to the Great Southern and Western, viz.:-the latter company to pay a rent equal to 14 per cent. per annum on the ordinary stock for two years, 2 per cent. for the next two years, and 2 per cent. in perpetuity; and in case of conversion each 50%. ordinary share of the Waterford and Limerick to be exchanged for 301. Great Southern and Western stock. This offer was ultimately declined.

GREAT WESTERN.-The following communication was also received from the chairman of the Great Western:

"Dear Sir,-Referring to our recent conversation on the subject of the proposed working agreement between our respective companies, I am now prepared to recommend to my colleagues that we should enter into such agreement on the following general principle:-The accounts of your company for the year ending 31st December, 1869, being taken as the basis of the arrangement, we would agree to make up to your company, by way of rebate on traffic of every description passing or forwarded ria Waterford and Milford, and interchanged between our two companies, such a sum as when added to the net balance of your revenue account, will make up to your shareholders a dividend, for the first three years of the agreement, at the rate of 21. per cent., and for the remaining term of the agreement at the rate of 31. per cent. per annum on your ordinary share capital; your company retaining, now and in future, all profits which may be earned by them in excess of these rates."

An agreement to this effect has since been drawn up for submission to shareholders. CAPITAL. The receipts and expenditure on this account to 30th June 1870, have been as follow:
