the stockholders of each of said railroad companies, given pursuant to subdivision ? of section 71 of the Railroad Law, was filed as an original agreement of consolidation forming the Metropolitan Street Railway Company, and recorded in the Secretary of State's office of New York on December 12, 1903, as appears by the certificate of John Palmer, Secretary of State, under his seal of office, dated August 27th, 1904, endorsed thereon.

Mr. Borland: I next offer in evidence a joint agreement, dated November 7th, 1895, made by the directors of the Metropolitan Street Railway Company, as party of the first part, and the Columbus and Ninth Avenue Railroad ('ompany, as party of the second part, which, with the consents of more than two-thirds of the stockholders of each of these two companies attached thereto, was filed in the office of the Secretary of State of New York on November 12th, 1895, as appears by the certificate of Andrew Davidson, Deputy Secretary of State, attached thereto, and which is filed in the clerk's office of the (County of New York, November 13th, 1895, as appears by the County Clerk's certifi(ate attached thereto.

Company to Metropolitan Street Railway Company, dated April 13th, 1900, with the certificate of the Third Avenue Railroad Company as to the stockholders' consents, dated May 17th, 1900, attached thereto, also the certificate of the Secretary of the Metropolitan Street Railway Company as to the consent of the stockholders, dated May 17th, 1900, attached thereto, and with an agree ment dated May 13th, 1900, between The Third Avenue Railroad Company and the Metropolitan Street Railway Company as to the transfer of the stocks of the controlled companies also attached thereto, all filed and recorded in the office of the Secretary of State of New York, May 19, 1900, and filed in the clerk's office of the County of New York, May 19th, 1900, and submit to the Standing Examiner a printed copy of this lease and these agreements.
