On this 9th day of December, 1893, before me personally appeared Patrick A. Nolan, to me personally known, who, being by me duly sworn, says that he resides at No. 114 Ninth Street, Brooklyn, New York; that, at the time of the execution of the foregoing instrument by Peter A. B. Widener, he knew the said Widener, and he knew him to be the person described in and who executed the foregoing instrument; that he saw the said Peter A. B. Widener execute and deliver the same; that the said Widener acknowledged to him that he executed and delivered the same as a Director of the Broadway Railway Company, and that he, the said Nolan,

to me and to me known to be Secretary of The Houston, West Street and Pavonia Railroad Company, the corporation described in and which executed the foregoing Consolidation Agreement as party of the first part thereto, who, being by me duly sworn, did depose and say:

That he resides in Brooklyn, N. Y.; that he is Secretary of said The Houston, West Street and Pavonia Railroad Company, and knows the corpor ate seal thereof; that the seal affixed to the foregoing Consolidation Agreement is the corporate seal of the said company, and was thereto affixed by order of the Board of Directors of the said company and as the voluntary act and deed of said company, and that he signed his name thereto by like order as Secretary of said company.

And the said deponent further says that he is acquainted with Herbert H. Vreeland and knows him to be the President of said company; that the sig nature of the said Herbert H. Vreeland subscribed to the foregoing Consolidation Agreement is the genuine handwriting of the said Herbert H. Vreeland, and was thereto subscribed by the like order of the said Board of Directors, and in presence of said deponent.

On this twenty-ninth day of November, in the year one thousand eight hundred and ninety-three, before me, the undersigned, a Notary Public, of the State of New York, in and for the County of New York, personally came Frederic D. Rounds, known to me and to me known to be the Secretary of the Broadway Railway Company, the corporation described in and which executed the foregoing Consolidation Agreement as party of the second part thereto, who being by me duly sworn, did depose and say:

That he resides in New York, N. Y.; that he is the Secretary of the said Broadway Railway Company, and knows the corporate seal thereof; that the seal affixed to the foregeing Consolidation Agreement is the corporate seal of the said company, and was thereto affixed by order of the Board of Directors of the said company, and as the voluntary act and deed of said company, and that he signed his name thereto by like order as Secretary of said company.

And the said deponent further says that he is acquainted with Ralph L. Anderton, Jr, and knows him to be the President of said company; that the signature of the said Ralph L. Anderton, Jr., subscribed to the foregoing Consolidation Agreement is in the genuine handwriting of the said Ralph L. Anderton, Jr., and was thereto subscribed by the like order of the said Board of Directors, and in presence of said deponent.
